Subscriber may choose to register Subscriber’s pharmacy with SureCostLite.com by completing the online intake form. Registering with SureCostLite.com in this fashion provides Subscriber with access to the distributors chosen by Subscriber to view within SureCostLite.com. By completing the online intake form and properly registering, Subscriber and Subscriber’s pharmacy through SureCostLite.com hereby agree to provide accurate and current information about Subscriber and Subscriber’s company. Subscriber also agrees to use SureCost Lite exclusively as its ordering portal for Subscriber’s distributor purchases and recognizes that distributors cannot support multiple ordering platforms. Subscriber agrees to notify Company whenever any of Subscriber’s previously submitted information changes. If Subscriber provides information that is inaccurate, not current, or in any other way fraudulent, or if Company suspects that Subscriber has provided such information, Company reserves the right to suspend or terminate Subscriber’s account at SureCostLite.com. Subscriber also agrees to actively use SureCostLite.com for ordering purposes to the distributors of Subscriber’s choice based on the active listing of distributors provided. Subscriber’s account will be suspended after non-use upon a specific set of days related to non-use and may be unlocked by contacting a Company representative. Company reserves the right during the activation period to suspend or terminate Subscriber’s account upon non-use and/or after having Subscriber’s account unlocked three (3) times by a Company representative. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. Personal Information & Privacy Protection
Personal information includes all of the personally identifying information Subscriber may provide during the application process and through SureCostLite.com. Company will limit the dissemination of personal information to the distribution partners. Subscriber controls the right to decide which distributors to use within SureCostLite.com. Company uses the information obtained in the intake sheet for internal purposes only and further limits internal access to Subscriber’s personal information. Unless required by law or subject to Subscriber’s express, written permission, Company will not exchange any other personal information other than Subscriber’s pharmacy name, address, city, state, zip, telephone number, class of trade and contact person to our distribution partners. A list of our distribution partners may be obtained by contacting a representative at Company.
4. Confidentiality, Copyrights, Trademarks, and other intellectual property
It is expected that one Party (disclosing Party) may disclose to the other Party (receiving Party) certain information which may be considered confidential (“Confidential Information”). Confidential Information shall mean all information relating to the business, products, or services of a Party that is non-public, confidential, proprietary or trade secret in nature, however, a Party’s Confidential Information shall not include information which (a) has come within the public domain through no act or omission of the other Party; (b) was in the other Party’s lawful possession prior to the disclosure and had not been obtained by the other Party either directly or indirectly from the Disclosing Party; (c) becomes rightfully available to the other Party on a non-confidential basis from any third party the disclosure of which to such other Party does not violate any contractual or legal obligation the third party has to the first party with respect to such Confidential Information, or (d) independently developed by the other Party.
The contents of SureCostLite.com, including all text, graphics, images, arrangements, design, format, appearance, and any other material (“Material”) is protected under both United States and foreign laws. All rights are reserved. Unauthorized use of the Material, including reproduction, copying, transmission, distribution, preparation of derivative works, public performance, and public display, is strictly prohibited by the Copyright Act of 1976, 17 U.S.C. § 101 et. seq and other laws. Notwithstanding the foregoing, you, the Subscriber, as a “viewer” or “user” of SureCostLite.com, are granted a nonexclusive, nontransferable, limited license to view, submit and print materials from SureCostLite.com provided that (a) such Materials are used for Subscriber’s business purposes, and (b) Subscriber will not remove, alter, obscure or otherwise eliminate from hardcopy versions the applicable copyright or other notices.

NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY LOST PROFITS, DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE, WHETHER BASED ON CONTRACT OR TORT OR ANY OTHER LEGAL THEORY, ARISING OUT OF ANY USE OF SOFTWARE OR ANY PERFORMANCE OF THIS AGREEMENT. THE WEBSITE AND MATERIAL ARE PROVIDED ON AN ‘AS IS’ BASIS WITHOUT ANY WARRANTIES OF ANY KIND. COMPANY, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, EXPRESSED, IMPLIED AND/OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND TIMELINNESS OF THE MATERIAL, SERVICES, CONTENT, SOFTWARE TEXT, GRAPHICS AND LINKS. COMPANY MAKES NO WARRANTY THAT THE USE OF MATERIAL OR CONTENT DISPLAYED ON THIS WEBSITE WILL NOT ALSO INFRINGE UPON THE RIGHTS OF THIRD PARTIES NEITHER OWNED BY NOR AFFILIATED WITH COMPANY.

Company may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of this Agreement. 10. Governing Law
This Agreement shall be governed and construed in accordance with the laws of New Hampshire, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights. If any provision of this Agreement is held to be invalid or unenforceable by a court, the remaining provisions of this Agreement will remain in effect.
Company reserves the right, at our sole discretion, to modify or replace the Terms of this Agreement at any time. If a revision is material we will provide at least a 30-day notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, Subscriber agrees to be bound by the revised terms. If Subscriber do not agree to the new terms, Subscriber is no longer authorized to use the Service.
